On 20th Dec,2021, ams OSRAM announced that it would sell its Fluence plant lighting system business and brand to Signify for US$272 million (approximately RMB 1.734 billion) in accordance with the principle of debt-free cashless (DFCF) acquisition. The two parties have signed a final agreement, and the transaction is expected to be completed in the first half of 2022, subject to approval by the standards regulatory authority.
Located in Austin, TX, US, Fluence now has 200 employees. It is a global leader in manufacturing white light products that mimic the solar spectrum. It is a rapidly growing system solution in the field of LED plant lighting. The provider, which now has a relatively high market share, was acquired by ams OSRAM in 2018.
Fluence's product portfolio includes light formulations for legalized cannabis cultivation in North America and more than 140 issued and pending patents, mainly related to light quality, thermal management and installation methods. Currently, Fluence's largest source of income is the legal cannabis cultivation market in North America. In the past year (October 2020 to September 2021), Fluence achieved revenue of 114 million U.S. dollars (approximately RMB 899 million).
And Signify began to deploy the plant lighting market as early as 1995, and is in a leading position in the global market. The product portfolio includes Philips GreenPower LED series products such as ceiling light modules, production modules, inter-plant lighting modules, flowering lights, and Philips GrowWise control systems. At present, related lamps and systems have been widely used in flower production, seedlings, plant factories, greenhouse vegetables and fruits, scientific research and other fields.
In the future, Fluence will operate independently under Signify's Digital Solutions division (including the plant lighting business).
Through this acquisition, Signify will obtain Fluence's multi-channel market entry strategy in the North American plant lighting market. At the same time, its existing knowledge and expertise will complement Fluence's plant lighting technology, and Fluence's patents in the plant lighting field will also help Signify to further expand the North American plant lighting market.
